Service Agreement for Offshore Company Formation

This Service Agreement (“Agreement”) is made and entered into as of [Date] (“Effective Date”), by and between [Your Company Name] (“Service Provider”), and [Client Name] (“Client”).

WHEREAS, the Client desires to engage the Service Provider for the purpose of forming an offshore company and obtaining any necessary licenses and permits; and

1. Services

(f) Providing ongoing corporate secretarial services as required by the offshore jurisdiction;

(g) Assisting with the preparation and filing of annual returns and tax returns as required by the offshore jurisdiction.

2. Fees

The Client agrees to pay the Service Provider the fees as set forth in the fee schedule attached hereto as Exhibit A. The Client shall make payment to the Service Provider in the manner specified in the fee schedule.

3. Term

This Agreement shall commence on the Effective Date and shall continue until the completion of the services as set forth in Section 1.

4. Termination

Either party may terminate this Agreement upon written notice to the other party if the other party breaches any material term or condition of this Agreement and fails to cure such breach within thirty (30) days after receiving written notice of the such breach.

5. Confidentiality

The Service Provider shall keep confidential all information obtained from the Client in connection with this Agreement, except to the extent that disclosure is required by law or regulation.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [State/Country], without giving effect to its conflict of law principles.

7. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.
