Employment Agreement

Parties:

This Non-Disclosure Agreement is signed into on ________________ (“Date”), by and between __________________, with an address of ________________, (The“Disclosing Party”) and ________________, with an address of ________________, ( The “Receiving Party”).

Confidential Information

(i) Any and all information, whether written, oral, or otherwise, relating to any aspect of the Disclosing Party’s business and operations that is not generally known or available from sources outside the Disclosing Party, or typical of industry standards, including, without limitation, software, technology, computer programs, source code, consumer and prospect lists, supplier lists, records, financial information, budget, market research, business plans, ideas, and

(ii) The terms, provisions, and circumstances of this Agreement, as well as the negotiations that have taken place in order to implement it.

The failure of the Disclosing Party to label any Confidential Information secret, proprietary, or otherwise shall have no bearing on its classification as Confidential Information under this Agreement.

Confidential Information Return:

Upon the expiration or termination of this Agreement, the Receiving Party decides to return any sensitive data to the Disclosing Party.

Ownership

This Contract is not transferable and would only be transfer with both Parties’ express approval.

Governing Law

This Employment Agreement is govern by and construe in accordance with the rules of ———————-.

Headings

The headings in this Employment Agreement are for reference only and are not to be use to infer interpretation or intent.
